1. Who we are
These Terms of Service govern your use of Suitra and the broader CleverAI product family ("Services"), provided by AZINOVE SAS, a French société par actions simplifiée registered with the Strasbourg RCS under SIREN 897 432 324, registered office at 13 Rue de Dahlenheim, 67200 Strasbourg, France ("AZINOVE", "we", "us").
By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 16 years old to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Your account
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at support@cleverai.ai if you suspect unauthorized access.
4. Acceptable use
You agree not to use the Services to:
- Violate any applicable law or third-party right (intellectual property, privacy, etc.)
- Generate or distribute illegal content (CSAM, terrorist content covered by Regulation (EU) 2021/784, fraudulent material)
- Generate non-consensual intimate imagery, harassment, defamation, or impersonation
- Attempt to bypass our access controls, rate limits, or security measures
- Reverse-engineer, decompile, or attempt to extract model weights
- Resell or sublicense the Services without our written agreement
Violations may result in immediate suspension or termination of your account without refund, and may be reported to competent authorities.
5. AI-generated content disclaimer
The Services use large language models and other AI systems whose outputs may be inaccurate, incomplete, biased, or otherwise unsuitable for any particular use. You are responsible for evaluating outputs before relying on them — especially for any high-stakes decision (legal, medical, financial, employment, safety). We make no warranty as to fitness for purpose, and we exclude liability for losses arising from your reliance on AI outputs to the maximum extent permitted by law.
5.1 EU AI Act Article 50 — synthetic content transparency
When you republish or distribute AI-generated content produced by the Services (image, video, audio, or text intended to appear authentic), you must clearly disclose its synthetic origin to the audience as required by EU AI Act Article 50 (binding August 2026). We commit to embedding machine-readable provenance metadata (such as C2PA) in synthetic media outputs where the underlying provider supports it; this assists but does not replace your obligation to disclose.
6. Intellectual property
Your content remains yours: you retain all rights to the content you submit to, or connect to, the Services ("Your Content"). You grant AZINOVE a non-exclusive, worldwide, royalty-free licence to host, process, and display Your Content solely for the purpose of providing the Services to you.
Our property: the Services themselves — including the software, UI, brand names, and aggregated usage data — remain the property of AZINOVE and its licensors.
7. Limitation of liability
To the maximum extent permitted by French law, AZINOVE's aggregate liability for all claims arising from your use of the Services is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.
We exclude liability for indirect, consequential, special, or punitive damages (lost profits, lost data, business interruption) to the maximum extent permitted by law. Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, gross negligence, or any liability that cannot lawfully be excluded.
8. Termination
You may terminate your account at any time from the account settings. We may suspend or terminate your account if you breach these Terms, with notice except where immediate action is required for security or legal compliance.
9. Changes to these Terms
We may amend these Terms with at least 30 days' notice (via email or in-product). Continued use of the Services after the notice period means you accept the revised Terms. If you do not accept the changes, your remedy is to terminate your account before the effective date.
10. Governing law and disputes
These Terms are governed by French law. Disputes will be submitted to the exclusive jurisdiction of the courts of Strasbourg, France, except where mandatory consumer-protection rules require otherwise. Before going to court, consumers may use consumer mediation free of charge (French Consumer Code, articles L611-1 and following). The mediator Azinove has designated will be named here; until then, write to legal@cleverai.ai.
Suitra-specific provisions
Suitra — Plans, billing and cancellation
Version 2026-10-28.
- Free: the CRM, contacts, activities, quotations, invoices and payments, with no time limit.
- Pro: adds the AI features and the team controls, for €17 per user a month excl. VAT (HT) per user, because Suitra is sold to businesses: VAT is added at the applicable rate. Pro cannot be bought online yet, and the price shown is indicative until then.
- Subscribing: an Owner of the workspace subscribes from Configuration → Plan, through Stripe, who handles the payments. The first subscription of a workspace starts with a 7-day free trial: a payment card is required, nothing is charged during the trial, and the first payment is taken automatically on the day the trial ends unless the subscription is cancelled before. The subscription then renews automatically each month until it is cancelled. A workspace that already had a trial is charged when it subscribes again.
- Seats: Pro is billed for each active member of the workspace, Owners included; the accountant seat is free, and a paused or removed member is not billed. When members join, are paused or removed, the number of seats is updated and the difference is charged or credited pro rata on the next invoice.
- Price changes: a price change is announced at least 30 days ahead and applies from your next renewal.
- Failed payment: Stripe retries a failed payment for a few days and we email you. The AI features stop if the first payment after the trial fails, and the subscription ends if the payment cannot be collected.
- Cancelling: an Owner can cancel at any time from Configuration → Plan → Cancel my subscription, in three clicks and without contacting us. The cancellation takes effect at the end of the period already paid, or at the end of the trial, in which case nothing is charged: you keep Pro until then, and the workspace then continues on Free with all its data. We confirm the cancellation, its date and its effects by email.
- Reminders: during the trial, we email you 3 days and 1 day before the first payment, with its date and amount. Before an annual subscription renews, we email you a reminder, no earlier than three months and no later than one month before the last day on which you can refuse the renewal, with that date and how to cancel. The law requires this when the customer is a consumer or a non-professional (loi Chatel, Code de la consommation, art. L215-1 and L215-3); we send it to every customer.
- Where consumer law applies, your statutory rights are not affected.
Suitra — Invoices and French invoicing rules
- Suitra prints on quotations and invoices the main mentions French law requires, from the information you enter: for example your legal identity, SIREN or SIRET and VAT number, your customer's SIREN, the invoice number and dates, the VAT breakdown, payment terms, late-payment penalties and the €40 recovery indemnity, and the nature of the operation. You remain responsible for that information, for checking that your documents are complete for your situation, and for your VAT and accounting obligations. Suitra does not replace your accountant.
- Invoices are numbered in one continuous sequence when they are posted. Posted invoices are locked: they cannot be changed or deleted. Correcting one will go through a credit note, which is coming to Suitra.
- Keeping your documents: the business that issues invoices must keep them, with its other accounting documents, for 10 years (Code de commerce, art. L123-22). That obligation is yours. Suitra helps with a PDF of every quotation and invoice and a full export of the workspace, but it is not an archiving service: deleting the workspace deletes your invoices, and AZINOVE keeps no copy.
- Electronic invoicing reform: since 1 September 2026, every business in France must be able to receive electronic invoices through an approved platform (plateforme agréée), and large and mid-sized companies must issue them; small and medium-sized businesses and micro-enterprises must issue them from 1 September 2027. Suitra is not an approved platform. It does not send or receive electronic invoices or report data to the tax administration, and a PDF from Suitra is not an electronic invoice under the reform. Factur-X invoices sent through a partner approved platform are planned; until then, use your own approved platform for these obligations.
Suitra — AI drafts are suggestions
On the Pro plan, Suitra's AI drafts opportunity summaries and next steps, quotation lines from a description or a photo, leads and contacts from pasted text, follow-up and payment-reminder emails, tidied call notes and list filters. In line with the transparency obligations of the EU AI Act (Article 50):
- AI features are marked as AI in Suitra and run only when a user starts one. Every AI result is labelled as an AI suggestion, and notes logged from AI carry an “AI-drafted” badge.
- What they produce is generated automatically by a language model and may be wrong, incomplete or out of date. It is a suggestion that a member of your team must review before using it: check every drafted quotation line (lines with no catalogue match say “prix à confirmer” and carry no price), and read and edit every email before you send it.
- Suitra never sends an email, posts an invoice or changes a record on its own: you decide what to keep. What you send your customers is your communication, and you are responsible for it.
Suitra — Data protection
When you put personal data into Suitra, AZINOVE processes it on your behalf as your processor. The Data Processing Agreement forms part of these Terms.
Suitra — The public demo
The demo at /demo is a sandbox with a fictional company, open without an account. Use it only to try Suitra, and do not enter real personal data or confidential information. A sandbox expires after 24 hours and is then deleted. We may reset sandboxes, or limit how many are opened, at any time. In the demo, AI buttons show fixed example outputs: no AI is called.
Suitra — Closing your workspace
A workspace admin can delete the workspace at any time from Account & data, after downloading its data. Deletion is immediate, cannot be undone and ends access for everyone in the workspace. Your sign-in account is separate and may also open other CleverAI apps, so it is not deleted with the workspace: to close it, write to privacy@cleverai.ai.
